White-Label Terms & Conditions
The programme terms between Marvic AI and each agency that runs the Marvic AI platform under its own brand. Written plainly, on purpose — if anything here is unclear, ask us before you sign.
These are the standard programme terms for the Marvic AI White-Label Programme. They are presented for review and become binding on an agency when that agency signs its individual White-Label Agency Agreement with Marvic AI, which records the commercial terms agreed with that agency.
1 The relationship
Marvic AI provides the platform: the software engine, the hosting, the agency console and the ongoing operation of the service (the "Platform"). Each participating business (an "Agency") sells and supports the service to its own clients under the Agency's own brand.
The Agency's clients are the Agency's customers. Their contracts, their billing relationship and their day-to-day support sit with the Agency — Marvic AI operates the engine underneath and has no direct customer relationship with an Agency's clients unless an Agency asks us to step in.
Nothing in these terms creates a partnership, employment or franchise relationship between Marvic AI and an Agency. Each Agency is an independent business running on shared technology.
2 What Marvic AI provides
- A configured tenant on the Platform, wearing the Agency's branding from the moment it is created.
- The agency console at wl.marvic.ai, where the Agency manages its branding, domain, rates, packages, clients and users.
- Hosting, maintenance, security updates and backups for the Platform, and the continuous improvement of its features.
- Technical separation between tenants, so each Agency's data and clients are isolated from every other tenant.
3 What the Agency is responsible for
- Its own pricing. The Agency sets its own rates, packages and add-ons, and is responsible for the prices and promises it publishes.
- Its own client contracts. The Agency contracts with its clients in its own name and honours those contracts.
- Lawful use. The Agency uses the Platform lawfully in every market it serves, including privacy, marketing-consent and consumer-protection rules that apply to the Agency and its clients.
- Honest marketing. The Agency's claims about the service must be claims the Platform can actually back up.
- Its own payment account. The Agency connects and maintains its own payment account (for example, its own Stripe account) and is responsible for its taxes, refunds and chargebacks.
4 Branding and domains
The Agency's brand assets — its name, logo and colours — belong to the Agency. Marvic AI claims no ownership of them and uses them only to operate the Agency's tenant.
An Agency may bind a domain it owns or controls to its tenant. We verify domain ownership before a domain activates, and a domain that cannot be verified does not go live. The Agency is responsible for renewing and maintaining its domains.
The Marvic AI name and marks belong to Marvic AI. An Agency receives no rights in them beyond any limited reference the Agency Agreement expressly permits, and an Agency must not present Marvic AI's marks as its own or imply that Marvic AI is the seller of the Agency's service.
5 Payments and fees
Client subscriptions, upgrades and add-ons sold by an Agency are billed through the Agency's own payment account and settle to the Agency. Marvic AI's payment accounts are never shared with, or operated on behalf of, any tenant.
The fees an Agency pays Marvic AI for the programme — and any revenue or usage terms — are commercial terms agreed individually with each Agency and recorded in that Agency's Agency Agreement. They are deliberately not listed here, because they are set agency by agency.
6 Clients and data
Data an Agency and its clients place on the Platform is processed only to run the Platform, as described in the White-Label Privacy Policy. An Agency must have a lawful basis for the client data it puts on the Platform, and remains responsible to its clients for that data.
One Agency's data is never visible to another Agency, and Marvic AI never markets to, or shares data with, an Agency's clients for Marvic AI's own purposes.
7 Acceptable use
An Agency must not use the Platform for unlawful content or activity, for unsolicited bulk messaging that breaks applicable law or carrier rules, or to attempt to access another tenant's data or undermine the Platform's security. Marvic AI may suspend a tenant that is abusing the Platform, notifying the Agency as early as the situation reasonably allows.
8 Availability and changes
Marvic AI works to keep the Platform available and improving, and may add, change or retire features over time. Where a change materially affects how Agencies or their clients use the Platform, we notify Agencies in advance through the console or by email.
9 Suspension and termination
Either side may end the arrangement as set out in the Agency Agreement. If an Agency's participation ends: the Agency's branding comes off its tenant, Platform access for that tenant ends, and the Agency can export its client business data during the notice period set out in the Agency Agreement, after which tenant data is deleted in line with the Privacy Policy.
Marvic AI may suspend or terminate an Agency immediately for serious misuse — for example fraud, unlawful activity, or attacks on the Platform or other tenants.
10 Liability
Each side is responsible for its own acts and omissions. Marvic AI provides the Platform with reasonable care and skill, but does not guarantee that any business outcome — leads, bookings or revenue — will result from using it; those outcomes belong to the Agency's own business.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law. Any financial cap on liability is as recorded in the individual Agency Agreement.
11 Governing law
These terms and each Agency Agreement are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Disputes are to be resolved in Ontario, Canada, unless the Agency Agreement says otherwise.
12 Contact
Questions about these terms: write to hello@gapsa.io. A person replies, not a bot.
The short version: we run the engine; you run your brand, your prices and your clients. Your clients are yours, your money flows through your own account, your domain must really be yours — and these terms take effect when your Agency Agreement is signed.
